A.P.A. Holding GmbH (A.P.A.) acts as the management and holding company its operational
units Jokisch GmbH in Oerlinghausen and RHOBA-Chemie GmbH in Bielefeld.
 
Since its foundation in 1961, Jokisch GmbH has become one of the top addresses for
technical chemical products and their application in the metalworking industry.
In addition to cooling lubricants, metalworking oils, anti- corrosion and anti-spatter-products,
the portfolio also includes services such as individual filling, intelligent fluid management and machine cleaning.

For more than 25 years, RHOBA-Chemie has been developing and distributing high-quality
chemical special products for a wide range of applications in the industry and aviation segments.
We supply a complete portfolio for exterior and interior cleaning to well-known airlines and
service providers.In industry, we provide surface treatment and water treatment products,
cleaners for companies in mechanical engineering, furniture, and kitchen manufacturing,
as well as the painting and automotive industries. Services such as intelligent fluid management,
machine cleaning, contract manufacturing and individual filling round off our customer offering.

PRINCIPLE 1

ECONOMY


Long-term profitability is an essential prerequisite for achieving our business
objectives as well as continuous growth. Profitability describes the efficiency of
our business activity and the value that customers place on the products and services
of the A.P.A. Group's operating units. Profitability provides the necessary operational
resources for continued investment. Only with this can we meet future demand for our
products and services for the benefit of consumers. Without profits and a strong financial
base, it is not possible to meet our commitments.
When deciding on investments or divestments of assets, we include sustainable economic,
social, and environmental development as well as a risk assessment of the investment.
Together with our business partners, we aim to make the value chain more sustainable -
as well as - continuously improve our performance in health, safety, and environmental
protection - especially regarding human rights and production safety.

PRINCIPLE 2

COMPETITION

A.P.A. companies support free competition. Within the framework of existing competition
law, we are committed to competing fairly and responsibly in the marketplace. We will
not prevent others from competing fully with us.

PRINCIPLE 3

BUSINESS INTEGRITY

In business activities, A.P.A. companies insist on integrity, honesty, and fairness.
We expect the same from our business partners. We do not tolerate soliciting or accepting,
directly or indirectly offering, or granting benefits of any kind. Bribes must not be paid.
Employees are required to avoid conflicts of interest between their personal affairs and
the duties they perform for the company. Potential conflicts of interest must be disclosed
to the employer. Business transactions on behalf of any of the A.P.A. Company's operating
entities shall be fully and accurately accounted for in the Company's books in accordance
with applicable regulations. They shall be subject to disclosure and audit.

PRINCIPLE 4

POLITICAL ACTIVITY

We pursue the economic objectives of A.P.A. companies within the framework of the respective
national laws and in a socially responsible manner.
A.P.A. companies do not make financial contributions to organisations, political parties,
or their representatives. A.P.A. companies do not engage in party politics.
However, A.P.A. companies have the duty and the right to make clear to local
governments their position on matters affecting themselves, their employees,
customers, owners, or the local community.

PRINCIPLE 5

HEALTH, SAFETY, ENVIRONMENT

We give the highest priority to the protection of human life in all our actions.
We take a systematic approach to continuous improvement in the areas of
health, safety, and environmental management.
All major business activities are treated by the A.P.A. companies with this in mind.
They set standards, set targets for improvement, measure, evaluate
their performance. We are constantly looking for ways to reduce the negative environmental
impact of our products, services, and operations.
The A.P.A. companies act according to the concept of CSR (Corporate Social Responsibility).
CSR is understood to mean, among other things, conscientious entrepreneurial action,
considering environmental aspects, the responsible treatment of employees and
social responsibility. For A.P.A. companies, sustainability is a commitment to the

A.P.A. companies value regular dialogue with business partners and stakeholders.
This requires active listening and honest and responsible responses. We are prepared
to make relevant information or our findings available to anyone with a legitimate interest
if discretion and confidentiality do not prevent this.

PRINCIPLE 8

COMPLIANCE WITH REGULATIONS

It is natural for us to comply with applicable laws and regulations in each country we
operate in.
The A.P.A. Group's Corporate Principles apply to all business activities and
govern all our conduct. Management ensures that all employees are aware of the wording
and meaning of these Corporate Business Principles and behave accordingly.

Management is also responsible for establishing secure and confidential channels of
communication to raise issues and cases of non-compliance. Conversely, it is the responsibility
of each employee to report suspected violations of the Corporate Business Principles to the
A.P.A. Group companies.

These Corporate Business Principles form the basis of our business activities.
Adherence to them is critical to our continued success.
